Welcome to AETHOS IT. These Terms & Conditions ("Terms") govern your access to and use of our website at www.aethosit.com and any design, development, marketing, or related services (the "Services") provided by AETHOSIT LLC ("we," "us," or "our").

By accessing our website, requesting a quote, or purchasing our Services, you ("Client," "you," or "your") agree to be bound by these Terms. If you do not agree, please do not use our website or Services.

1. Services

AETHOSIT LLC provides digital services including, but not limited to, website design, web development, UI/UX design, marketing, social media management, eCommerce solutions, and ongoing technical support. The specific scope, deliverables, timeline, and price for any engagement will be defined in the purchased package description or in a separate written proposal or statement of work ("Project Agreement") agreed to by both parties.

In the event of any conflict between these Terms and a signed Project Agreement, the Project Agreement shall prevail for that engagement.

2. Packages, Quotes & Project Scope

Our fixed-price service packages cover the deliverables listed in each package description. Work requested beyond that scope ("Additional Work") may be subject to additional charges, which will be communicated and approved before work proceeds. Custom quotes are based on the information you provide at the time of request and are valid for 30 days unless otherwise stated.

3. Payment

Service packages purchased through our website are payable as a one-time charge at checkout. This is not a subscription, and you will not be billed on a recurring basis for a package purchase. Custom projects may be invoiced according to the payment schedule stated in the Project Agreement, which may include a non-refundable deposit before work begins.

Payments are processed securely through Stripe. By making a payment, you agree to Stripe’s applicable terms. All fees are exclusive of applicable taxes unless stated otherwise, and you are responsible for any taxes, duties, or levies imposed on the transaction.

4. Client Responsibilities

To deliver Services effectively, we rely on your timely cooperation. You agree to provide accurate, complete information and all required materials (text, images, logos, access credentials, etc.); review deliverables and provide consolidated feedback within agreed timeframes; obtain all necessary rights and permissions for materials you supply; and designate a primary point of contact authorized to make decisions on your behalf. Delays caused by the Client are not the responsibility of AETHOSIT LLC.

5. Revisions

The number of revision rounds included is specified in each package or Project Agreement. Additional revisions, or changes to previously approved work, may be billed at our standard rate.

6. Intellectual Property

Upon full and final payment of all fees due, ownership of the final deliverables created specifically for you will transfer to you, except as noted here. We retain ownership of all pre-existing materials, tools, frameworks, and code libraries used to create the deliverables; where such materials are incorporated, you are granted a non-exclusive, perpetual license to use them as part of the final product. Third-party components (fonts, plugins, stock imagery, software) remain subject to their own licenses. Unless you request otherwise in writing, we may display completed work in our portfolio.

7. Timelines

We make reasonable efforts to meet agreed timelines. Timelines are estimates and may be affected by scope, Client responsiveness, and factors beyond our reasonable control.

8. Warranties & Disclaimers

We warrant that Services will be performed with reasonable skill and care. Except as expressly stated, the website and Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the website or Services will be uninterrupted or error-free.

9. Limitation of Liability

To the fullest extent permitted by law, AETHOSIT LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business. Our total aggregate liability for any claim shall not exceed the total amount paid by the Client for the specific Service giving rise to the claim.

10. Termination

Either party may terminate a Project Agreement by written notice if the other materially breaches these Terms and fails to remedy the breach within 14 days of notice. Upon termination, you shall pay for all Services performed up to the termination date; non-refundable deposits are not returned. Sections on intellectual property, payment, confidentiality, and limitation of liability survive termination.

11. Confidentiality

Both parties agree to keep confidential any non-public information disclosed during the engagement and to use it only to fulfill the Services. This obligation survives completion or termination.

12. Indemnification

You agree to indemnify and hold harmless AETHOSIT LLC, its owners, employees, and affiliates from any claims, damages, or expenses arising from your breach of these Terms, your misuse of the Services, or any materials you provide to us.

13. Governing Law

These Terms are governed by the laws of the State of Missouri, United States, without regard to its conflict of law provisions. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Missouri.

14. Changes to These Terms

We may update these Terms at any time. Changes will be posted on this page with a revised "Last updated" date. Continued use of our website or Services after changes constitutes acceptance of the updated Terms.
